UT Austin OSP has a document that addresses many of the points you mention
and might be a good starting point.

http://www.utexas.edu/research/osp/

bottom of the page under Guidelines, Principles and Policies Guide for
Sponsored Research is a pdf document.

Subject: [RESADM-L] "Doing Business With" Policy Statement

Before I reinvent the wheel...
I'm looking for a model "Doing Business With" policy statement that you
use with potential sponsors (particularly privates) that explains the
kind of relationship the university is willing to enter and covers such
things as no publication restrictions and no restrictions on hiring of
foreign persons (to retain fundamental research exception from export
control regs), commitment to inidividual academic freedom and free and
open exchange of ideas and knowledge, independence and objectivity of
investigators, ownership rights in data and intellectual property,
mutual understanding that research is unpredictable and results may not
meet sponsor's preconceived expectations, university's commitment to
ethical conduct, etc. If you have such a statement that has worked well
for you and is on your website or easy to attach to an email, would you
please share? My guess is that others will be interested, too, so,
since these are public statements, please respond to the list.
Thanks--and Happy Thanksgiving!!
Barbara
