Can anyone out there steer me in the right direction.  Our university is
planning on updating the agreement we use when obtaining consulting on
restricted programs.  This has provided an opportunity for many
administrative department to put their two cents in.  Such as....

Human Resources
Purchasing
Intellectual Property
Research Services

I am looking for information related to a few issues.  First, how should we
be determining the difference between a subcontract and consultant?  If the
consultant is incorporated should we be writing a subcontract?  Also,
should intellectual property be addressed in our consuting agreement?

Does anyone have an example on the WEB that I could refer to - of either
policy or sample contracts.
