A quick general comment on your question is that "It all depends".  There
is less "mandatory" flowdown when you deal with non-federal funds rather
than federal funds.  Your primary concern should be to protect the person
in the mirror which would include include long term considerations.
Having said that, NCURA has a brochure they sell endtitled "Subcontracting
with Private Funds" written by Judy Argon (good person!) from Duke
University.  NCURA also has a comparable brochure entitled "Subagreements
under Federal Prime Awards" written by Stephen Erickson from Boston
College.  Both of these documents offer a good starting point for
developing agreements.
