If the project is NON-federally sponsored, your subcontractor is not a
"subrecipient."

A "standard" contract made subject to the Ts & Cs of the prime award
works well.  The standard contract should include a non-use of university
name clause, particularly if the sub is a for-profit.  Another critical
clause(s) deal(s) with patent & copyright ownership & limitation.
Obviously, the right to subcontract must be specifically approved by the
awarding entity.

We have two so-called "standard" agreements.  The choice of which to use
depends upon the nature of the project, the prime awarding entity, the
type of subcontractor and the nature of the work to be contracted.
