I received a significant response to my post about a "vendor subcontract"
format.  I will get back to each of you who requested our format as soon as
practical.  The terms and conditions are a near repeat of the terms and
conditions on the back of our purchase order written in subcontract form.  I
chose to stick as close to our PO terms (for better or worse) for consistency
sake; and, so that it would be clear to an auditor that it was not a
"subrecipient subcontract" with all that that implies regarding A-110
compliance.  Again, I'll be glad to supply anyone with a copy of our
boilerplate.
