Has anyone had experience negotiating a cooperative agreement with Wright
Patterson AFB?  My particular concerns are indemnification.  They have
three clauses in their model agreement concerning indemnification.  One
involves patent infringement, one involves environmental liability and one
involves general liability.  The negotiator stated that these clauses are
mandatory per AF Materials Command.  I have seen them in other AF
agreements so it does not appear to be isolated to Wright Patterson.

I am seeking advice from someone who may have sucessfully negotiated
deletion of or appropriate modification of these clauses.  Auburn is a
public IHE and instrumentalitity of the State of Alabama.  Sovereign
immunity arguments have thus far fallen on deaf ears.  As with all of us
trying to survive the fiscal year end rush, I am in a hurry for info.

PS.  The amount of the award is not huge but it is not insignificant either
