We almost never  have problems with remaining silent or changing to
Tennessee State law.  However, there have been a couple of cases where it
was going to be a deal breaker and we split governing law.  Something to
the effect that if the dispute was with company X, their state law would
govern but if the dispute was with the University of Tennessee, Tennessee
State law would govern.
