(11) Flow Down.
(i) To flow a clause down to first-tier subcontracts only, use a final
paragraph such as-
"(d) The Contractor shall insert the substance of this clause in each
first-tier subcontract that exceeds $100,000."
(ii) To extend the flow down to lower-tier subcontracts, use a final
paragraph such as-
"(d) The Contractor shall insert the substance of this clause,
including this paragraph (d), in all subcontracts that exceed
$100,000."
(f) Clause Matrix.
The solicitation provisions and contract clauses matrix at FAR 52.301
is a useful tool for contracting officers. To keep the matrix current,
include a Matrix Data Form (Exhibit 1) with each proposed FAR revision
that adds, deletes, or revises the prescription for a solicitation
provision or contract clause.

Situation:
prime from DHHS to private company to Educational institution
Private company says that unless we can show in writing that they
should modify the FAR flow downs with the appropriate alternates etc
then they won't change anything.
Been looking like a crazy person but can't put my hand on it as fast
as I need to
thought an expert out there could say immediately where it is....
