Steve,
MTA is the way to go on this. However, I'd caution against pre-negotiating future license terms as part of this process. Standard MTA language offers items for internal evaluation only, with no rights granted and return/disposal of all materials when agreement terminates. You could even try to limit ability to "reverse engineer", keeping exact structure/composition safe. Why not consider just sending them a set of coded samples (that's what they'd do if asking you to work with them)?
There is also good UBMTA language, I believe easily accessed thru AUTM website. However, you probably will want to use more aggressive terms when dealing with for-profits.
Caution is advised, and a bit of IP legal advice even.
Regarding costs, I'd go for what the market will bear. In this case, all actual costs, shipping, IDC, and maybe a bit of a surcharge?
