This is what Virginia's Attorney General's office tells us to use as a
replacement to an indemnification clause, when we can't strike the
clause all together.

"To the extent permitted by the laws of the Commonwealth, RU agrees to
accept all lawfully imposed responsibilities for the acts of RU's
binding agents and employees while acting in the scope of their
professional academic responsibilities."

Once most businesses/organizations are informed that under the Code of
VA, agencies do not have the legal authority to indemnify, they will
agree to accept language that holds RU responsible for its own actions.

I'm looking for suggestions for how to handle indemnification in a
subcontract (on a federally-funded project) to a state university. Our
lawyers require indemnification, the state university is unable to
comply. How have you resolved this kind of issue? Thanks for any
guidance.
