I have had that situation several times a year, and it caused no problem. The authorized officials for the institutions are who make the agreements, on behalf of the institutions, not the PI. I presume each institution has some sort of COI process internally. Of course I look at the arrangement carefully because of the obvious concern of the same individual being both PI's; that pretty much takes care of any COI between institutions. Incidentally, I apply the following to many agreements where the PI signs; it is equivalent to the language on, say, an NIH proposal: "Investigator, while not a party to this agreement, hereby acknowledges that he/she has read the Agreement and understands his/her obligations as a university employee or faculty member to abide by the terms herein." This pins down the PI to acknowledging his responsibilities and yet insulates him from the institutional responsibility of the Authorized Official.
