Does anyone out there have a sample of a reasonable confidentiality
agreement for students to sign when they do internships with companies
where work with proprietary information or products may be involved?
 Our institution is in discussions with a software firm about
internships and possible sponsored research at some future time, and the
agreement they've shown that they use with their contract consultants
includes everything the company says is confidential, confidential
information even if the company doesn't mark it as such (???!), and is
to be in force in perpetuity.  We would like to give them an example of
something that is more student and university-friendly.  Faxes, web
references, email attachments welcome.
