Our institution has recently created a separate not-for-profit corporation to encourage and develop relationships with corporations to conduct research and perhaps take equity interest in intellectual property that may be developed as a result of the relationship. Can you provide me with information/policies/etc. on how your institution deals with situations to maintain the separateness (and arm's length nature) of the relationship between your institutions' governing board and any corporation set up by the university to engage in these types of activities (especially when the members of the university's governing board and the board of directors of the corporation may overlap), and where there may be perceived or actual conflicts of commitment and institutional conflicts of interest?
