First of all let me say that I find this source of information extremely
helpful.  I am learning about subcontracts and would like your advise.

I am trying to get a subcontract processed (we are the prime and the
subcontractor is a state university) and have been asked to modify our
existing agreement.

Would you mind letting me review clauses on "Confidential Information",
"Indemnity" (for state institutions), "Governing Law" (for state institutions)?

Is there specific information out there on regulations that state
institutions need to adhere to on the above?

Any help you can give would be greatly appreciated.
