Hi all,

I am negotiating an Academic Partnerships Master Agreement with Delphi
Automotive Systems and am having a problem with their inventions language.
In the agreement they will pay for a patent if they want one but want us to
grant them "an irrevocable, worldwide, non-exclusive license and right to
make, have made, reproduce, use, sell, and offer to sell all University
Inventions without additional royalty or payments." We would normally only
grant a non-exclusive licence for research purposes only. They claim a
number of other institutions have accepted their agreement as is without
negotiation. Has anyone out there had experience with Delphi? Did you
accept their invention language? If so, how where you able to do that?

Please feel free to respond to me directly by the phone number below or my
e-mail.

Thanks!
