electronic course development/ownership & contract issues

Hello teammates!
Now that we're entering the era of the virtual campus and electronic
curriculum development, I've got questions about sponsorship of such
endeavors. Has anyone established a working agreement with sponsors in
this kind of scenario?
We have a corporate sponsor who is willing to foot part of the bill for
course redesign (we'll pay 50% and they'll pay 50%), they'll naturally try
to make the case that they should own part of the resulting product. I
imagine they'll try to liken themselves to the textbook publishers, where
I'll take the position that this is a software product and the university
should retain ownership.
Also, who does the hardware and the software maintenance? We'd like the
company to handle hardware maintenance and we anticipate continuous
development costs, so software costs will be an issue in future years.
Should there be a 1, 2, 4 or ... 10 year term?
What about selling rights after development?
Has anyone out there begun to address these issues?
