Including provisions that are not appropriate for flow-down.  Blanket incorporation is not proper in almost all cases.  In addition, if there is ever litigation, the first issue will be which of the allegedly incorporated provisions were or were not actually incorporated, and whether they should have been incorporated.  In states such as Virginia, which has a no "Blueline" doctrine, the entire agreement may be at risk.

Don't be lazy, do the work to incorporate the clauses that are appropriate and to modify, delete, or change those that are not.

Hi –

Does anyone have a list of ‘flow-down’ provisions for a subaward on a grant that include more than just the mandatory ones like EEO, Davis Bacon, etc.?  I’m curious if there are others that your institutional typically includes, like Buy-America for example. 

 

We do not have a lot of federal funding, nor do we have anyone experienced in the Uniform Guidance outside of myself, so I’d like to create an all-inclusive addendum to our standard MSA that includes it all to CYA ourselves even if and when a particular provision is N/A. 

 

Thought??  Examples??
