Commercial organizations may turn down contracts with the normal Bayh-Dole clauses since their IP may get swept up in the Government license requirement.
Foreign organizations may object to many of the US audit clauses, and often there are MOUs between countries to deal with alternates.
Fact dependent issue.  What Clauses? Which companies?  What buying circumstances.
