If you Google "Model Allocation of Rights SBIR STTR" that should get you started.

Get used to for-profits wanting to own IP.  However, where a particular project is federally funded (and not sponsored with their own private dollars) I would be very cautious (if not highly resistant) about giving up rights above and beyond what Universities and Institutes would be provided under Bayh-Dole.  Is this a Phase I? If so, even more so....always consider who is bringing what to the table.
