Subject: [RESADM-L] Contracts with UK entities

Our office recently experienced a failed negotiation with an English government lab (Central Science Laboratory on behalf of Dept. for Environment, Food, and Rural Affairs). The primary issues that proved insurmountable were indemnification, ownership, and publication control. There were other issues as well relating to governing law, dispute resolution, and payment terms. Though told that the lab had had successful contracts with other US universities, no names were produced.
We would like to learn of experiences that others have had with United Kingdom companies and, especially, government entities. Were the negotiations successful? What were the primary issues that arose and how were they resolved? How did the experience compare with agreements with other European Union countries? How long did the negotiations take to come to a successful conclusion?
