 We had a related incident here last year.  the PI didn't die, but left
 the institution in such a manner that taking the grant with him was
 not appropriate.  Don't ask.
 Our proposal to NIH (similar procedure to that below) was that the
 substitute PI would be able to adequately supervise the graduate
 students and post-docs supported on the grant, which was the focus of
 our request to keep the grant.  NIH agreed, and we kept the grant for
 about 18 months after the original PI left.  There was no compelling
 reason to seek continuation funding on that grant after that period,
 as the graduate students and post-docs had moved on.
 I'd say if you make a compelling case, they might say yes.  Perhaps a
 preliminary conversation with the program officer might help?

This happened to us last year when a PI died in a biking accident. We sent
our request to the Program manager with a cc to the grants manager, when
the PI died. We asked for a change in PI. We also had an assistant professor
working with the PI. Although they thought that the work of the
assistant professor was excellent they did not feel that he could match
the expertise of the PI. We were denied the change and the grant was
terminated. So, if I was you I would wait until the PI died unless of
course you need to remove him from the grant because he needs to take a
leave of absence, etc.  When that happens you need to notify NIH immediately.
